MillionReps Rep Terms
1. Who this is between
These Rep Terms (the "Terms") are between GoDo Inc, organized in Delaware ("MillionReps", "we", "us"), and you, the person or business accepting them (the "Rep", "you"). They take effect on the date you accept them.
Your counterparty is MillionReps. You are not entering into an agreement with any company listed on MillionReps (each, a "Company"), and no listing, referral, or sale creates a contract between you and a Company.
These Terms cover how you refer potential customers to Companies through MillionReps, and what MillionReps owes you when revenue results.
2. Definitions
"Company" means a business that lists a product on MillionReps under its own agreement with us.
"Attributed Sale" means a sale to a customer whose relationship with a Company began, in whole or meaningful part, through your referral, as recorded by MillionReps' tracking and reporting mechanisms.
"Collected Revenue" means amounts the Company has actually received and kept from an Attributed Sale, net of refunds, chargebacks, and credits, and excluding sales, use, VAT, GST, and similar transaction taxes.
"Commission" means the amount a Company owes MillionReps on Collected Revenue under that Company's agreement with us. "Your Share" means the portion of that Commission MillionReps owes you under Section 4.
3. What you do, and what you must not do
You decide who to contact, when, and how. You choose which Companies to work with, set your own hours, and use your own equipment and methods. Nothing here requires you to make any minimum number of referrals or to work exclusively with MillionReps.
You may describe a Company's product using the materials it provides. You may not make promises about pricing, delivery, performance, or terms that the Company has not published, and you may not represent yourself as an employee or agent of MillionReps or of any Company, or as having authority to bind either.
You must comply with the law that applies to your outreach, including anti-spam law (such as CAN-SPAM), telemarketing rules, and data protection law. You must honor opt-outs. You may not buy or scrape contact lists, misrepresent who you are, or use MillionReps to send anything a reasonable person would call spam.
Contacts you connect to MillionReps stay yours. We use them to suggest introductions to you and to record attribution — we do not sell them, and we do not hand them to Companies.
4. How your share is calculated
When a Company owes MillionReps a Commission on an Attributed Sale credited to you, MillionReps owes you 70% of that Commission and retains 30% as its platform fee. Your dashboard shows the rate for each listing and your net share before you choose to work a listing.
If another Rep referred you to MillionReps, you keep 60% of the Commission on your sales instead of 70%, and MillionReps owes that Rep a 10% referral override on those sales. MillionReps' 30% platform fee is the same either way. Your dashboard shows which of these applies to you.
The override is ONE level deep. A Rep earns an override only on the sales of Reps they personally referred — never on sales made further down any chain, and there is no chain to build. Referring Reps is not a business opportunity in itself: no one earns anything from recruiting alone, only from a Rep's actual attributed sales, and MillionReps makes no representation about what anyone will earn.
Attribution is determined by MillionReps' records — tracked links, recorded introductions, reported meetings, and the Company's own revenue reporting. If attribution for a specific sale is disputed, either of us may submit evidence and MillionReps will review the record before changing anything. A dispute does not by itself change what is owed.
If a sale is refunded, charged back, or credited after Your Share was calculated, the corresponding amount is reversed and is netted against later amounts we owe you. If your balance cannot cover a reversal, you owe us the difference.
MillionReps may change these percentages for FUTURE sales by posting new terms. A change never applies retroactively to a sale already credited to you.
5. Who pays you — and who does not
MillionReps pays you from its own funds, as principal. Your Share is a debt MillionReps owes you under these Terms. It is not a Company's money, and MillionReps does not hold it for you, in trust or otherwise.
You have no claim against any Company for Your Share. Do not invoice a Company for it, and do not accept payment from a Company for it. Customer payments go to the Company directly, in the Company's own payment flow; MillionReps never takes custody of them.
If a Company fails to pay MillionReps, becomes delinquent, or is delisted, sales attributed to that Company are excluded from payout runs while that status lasts. We will tell you when that affects an amount shown as owed to you.
6. When and how you get paid
MillionReps assembles payouts in runs covering a calendar month. Amounts credited to you during a month are included in that month's run once the underlying revenue is recorded and attribution is settled.
We pay through the payment method you set up on MillionReps, or another method we agree to in writing. You are responsible for keeping your payment and tax details accurate; we may hold a payout that we cannot deliver, or that identity, tax, or sanctions checks require us to hold, until the problem is resolved.
Amounts are stated in United States dollars unless your dashboard says otherwise. Any fees your own bank or payment provider charges to receive a payout are yours.
7. You are an independent contractor
You are an independent contractor. These Terms do not create an employment, partnership, joint venture, franchise, or agency relationship between you and MillionReps or between you and any Company.
You are responsible for your own taxes. MillionReps does not withhold income tax, and does not pay employment taxes, benefits, insurance, or expenses on your behalf. You will provide the tax documentation we need to pay you (for example a Form W-9 or W-8), and we may issue information returns such as a Form 1099 where the law requires.
You are not eligible for employee benefits, and nothing here entitles you to any minimum payment, territory, quota credit, or continued access to any listing.
8. Your account
Keep your login credentials secure and tell us promptly if you believe your account has been used without your permission. You are responsible for activity under your account.
You must be at least 18 years old and legally able to enter into these Terms. If you accept on behalf of a business, you confirm you may bind it.
We may suspend or close an account for fraud, misrepresented attribution, abusive outreach, legal risk, or a serious breach of these Terms. Where we suspend an account over an attribution or conduct question, we will hold rather than cancel amounts already credited to you while we review.
9. Confidentiality and materials
Companies may share materials with you through MillionReps — decks, pricing, product detail. Use them only to refer customers to that Company, and do not publish or repurpose them elsewhere.
Anything a Company or MillionReps marks as confidential, or that a reasonable person would understand to be confidential, stays confidential. This obligation continues after these Terms end.
10. Ending these Terms
Either of us may end these Terms at any time, for any reason, with no penalty.
Ending them does not cancel amounts already credited to you for sales that closed before the end date; those are paid in the ordinary run once the revenue is collected and settled. It also does not cancel a reversal you owe us.
Sections 5, 7, 9, 11, and 12 survive the end of these Terms.
11. Disclaimers and limits
MillionReps is a marketplace. We do not guarantee that any listing will produce sales, that any Company will accept a referral, that a Company will report revenue accurately or on time, or that any amount will be earned. We are not responsible for a Company's product, conduct, or solvency.
The service is provided as is. To the extent the law allows, MillionReps disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Neither of us is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost opportunity. MillionReps' total liability arising out of these Terms is limited to the greater of the amounts MillionReps paid you in the twelve (12) months before the claim, or one thousand United States dollars (US$1,000). These limits do not apply to MillionReps' obligation to pay Your Share under Section 5, or to liability that cannot be limited by law.
12. Legal notices, changes, and governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The courts located there have exclusive jurisdiction, and each of us consents to that jurisdiction.
Legal notices to MillionReps go to lance@xcor-cto.com and to GoDo Inc, 8 THE GRN STE 13688, DOVER, DE, US 19901. Notices to you go to the email address on your MillionReps account, so keep it current.
We may change these Terms by posting a new version. A change applies to sales credited after it takes effect; it never changes what you have already earned. If you do not accept a change, stop using MillionReps and we will pay what you are already owed.
If any part of these Terms is unenforceable, the rest stays in force. These Terms, together with what your dashboard states for a listing, are the entire agreement between you and MillionReps about this subject.
